Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", "Customer") and LexMulier trading as Ripazo, Zeist, Netherlands, KvK 92535755 ("Ripazo", "we", "us", "our"). The Terms govern your use of the Ripazo service (the "Service") — a private dashboard for families and friends co-owning a vacation home.

By creating an account or using the Service you accept these Terms and our Privacy Policy.

1. Definitions

  • Account — the user profile you create to log in.
  • Content — anything you upload or enter into Ripazo, including bookings, photos, albums, checklists, contact details, comments, and house information.
  • House page — the private dashboard you create for a specific vacation home.
  • Co-owner — any person you invite to a House page.
  • Subscription — a paid plan you choose for a House page.
  • Subprocessor — a third-party service we rely on to run Ripazo. Listed at /legal/subprocessors.

2. Eligibility and your account

You must be at least 16 years old to create an Account. By signing up you confirm that:

  • The information you provide is accurate.
  • You are not on a list of persons subject to EU sanctions.
  • You will not share your login with other people except invited Co-owners through the built-in invitation flow.

You are responsible for activity on your Account, including anything your Co-owners do after you invite them. If you learn that your credentials have been compromised, tell us immediately at info@ripazo.com.

3. The Service we provide

Ripazo gives you a private, invite-only dashboard for coordinating a vacation home. Features may be added, changed, or removed over time; we give reasonable notice for material changes.

Ripazo is not:

  • A professional property-management platform.
  • A rental marketplace.
  • A replacement for legal, tax, or financial advice.

You use the Service at your own risk for what it is.

4. Permitted and prohibited use

Permitted. Use Ripazo for private vacation-home coordination between people you know.

Prohibited. You may not:

  • Run a commercial rental business, hotel, or Airbnb-style operation on Ripazo.
  • Upload illegal content or content that infringes someone else's rights (copyright, privacy, likeness).
  • Upload malware, probe for vulnerabilities without written permission, or attempt to bypass rate limits or RLS boundaries.
  • Resell, sublicense, or rebrand the Service.
  • Use automated means (scraping, bots) except through a published API we explicitly provide.
  • Use the Service in any manner that overloads our infrastructure beyond normal use.

No access-critical information. Ripazo is for non-critical information only. You must not store information that could enable physical or security access to a property or its contents — including door, gate, or building entry codes; alarm codes or disarm sequences; key-box, lockbox, or safe combinations; and router or smart-home admin credentials. Keep everything you store non-critical.

We may suspend or close Accounts that materially violate this section; see section 11 on termination.

5. Content ownership and the licence you give us

You keep full ownership of your Content. You grant us a limited, worldwide, royalty-free licence to host, display, copy, adapt (only for technical reasons like resizing images), and transmit your Content solely to provide the Service to you and your Co-owners. This licence ends when you delete the Content or your Account, except for copies retained in backups for a limited technical window (max 30 days) and records we are legally required to keep.

We do not use your Content to train AI models, sell it, or share it with advertisers.

Feedback you send us (feature ideas, suggestions) may be used freely by us without obligation.

6. Third-party services and subprocessors

We rely on subprocessors listed at /en/legal/subprocessors — Supabase, Vercel, Stripe, Resend, PostHog (opt-in), Sentry (opt-in). Their services are governed by their own terms. We remain responsible to you for how our subprocessors handle your Content.

7. Subscriptions, fees, and taxes

7.1 Prices

Current prices are at /en/pricing. Prices are excluding VAT. We apply Dutch VAT rules for EU consumers (OSS) and reverse-charge for EU business customers where applicable.

7.2 Billing cycle

Subscriptions bill in advance for the chosen period (monthly or annual). The billing cycle continues automatically until you cancel. Payments are processed by Stripe.

7.3 Free trial

If we offer a free trial, the terms (duration, included features) are stated at signup. At the end of the trial we charge the card on file for the paid period unless you cancel before trial end. We send a reminder at least 3 days before charging.

7.4 Failed payments

If a payment fails we retry for up to 14 days. During the retry period the Account remains active but may show a payment-issue banner. If no payment succeeds after 14 days, we suspend the Account. You have another 30 days to pay and restore access before the Account becomes read-only and scheduled for deletion.

7.5 Cancellation and refunds

You can cancel any time from Settings → Billing. Cancellation stops the next renewal; the paid period remains active until its end.

Refunds for the unused portion of a paid period are at our discretion. For annual plans cancelled within 14 days of first subscribing, we grant a full refund. After 14 days, no refund is due except where required by Dutch consumer law.

7.6 Changes in pricing

We may change prices. Existing customers get at least 30 days' notice by email before a price increase takes effect on their next renewal. You may cancel before the new price applies.

8. Availability and support

We aim for high availability but do not offer a contractual SLA. Scheduled maintenance is announced in-app where reasonably possible. Support is by email to info@ripazo.com, best-effort during Dutch business hours.

9. Intellectual property

The Service (software, design, name, logo, structure) is owned by Ripazo. These Terms grant you no rights in any of that except the right to use the Service according to these Terms. Ripazo, the logo, and any distinctive visual elements are trademarks of LexMulier.

10. Privacy and data protection

Our Privacy Policy at /en/legal/privacy explains how we handle personal data. Our Subprocessors page at /en/legal/subprocessors lists the third parties we use. Both documents are incorporated into these Terms.

11. Termination

11.1 By you

You can close your Account any time from Settings → Account. See Privacy Policy § 8 for the deletion flow.

11.2 By us

We may suspend or close your Account for material breach of these Terms (especially section 4). For non-emergency breaches we give you at least 14 days' written notice and a chance to cure. For clear abuse (illegal content, fraud, security incidents) suspension is immediate.

On termination, pending invoices remain due; the Content-licence in section 5 ends; we retain records per the Privacy Policy retention schedule.

12. Disclaimer

The Service is provided "as is" and "as available". To the fullest extent allowed by Dutch law, we disclaim implied warranties of fitness for a particular purpose, non-infringement, and uninterrupted operation. The Service is not designed for life-safety or emergency use. It is not a secure store for access-critical information — see section 4.

13. Limitation of liability

To the fullest extent allowed by Dutch law:

  • Direct damages. Our total aggregate liability for direct damages under these Terms is limited to the amount you paid us in the 12 months before the claim arose (or €100 if that amount is higher than what you paid).
  • Indirect damages. We are not liable for indirect, consequential, or special damages, loss of profit, loss of data (beyond our backup obligations), or loss of goodwill.
  • Information you store. Because you are required to keep everything you store non-critical (see section 4), you store and share information at your own risk. We are not liable for any loss, damage, theft, or unauthorized access to a property or its contents arising from information stored in the Service — including where that information is exposed through a security breach or unauthorized access to an account.
  • Nothing limited that cannot be limited under Dutch law — including damages caused by our intent or gross negligence, or our liability under product-liability law.

14. Indemnification

You agree to defend and indemnify us against claims arising from (a) Content you upload, (b) your breach of section 4, or (c) your infringement of a third party's rights. We will notify you of any such claim and let you control the defence; we may participate at our expense.

15. Force majeure

Neither party is liable for failure to perform due to events beyond reasonable control — natural disasters, war, government action, large-scale network or subprocessor outages not caused by us.

16. Dutch consumer rights

If you are a consumer in the EU, nothing in these Terms limits statutory consumer rights you have under Dutch law, including the 14-day cooling-off period for distance contracts. Where these Terms conflict with non-waivable consumer protections, the statutory right prevails.

17. Changes to these Terms

We may update these Terms. For material changes we notify you by email at least 14 days before they take effect. Continued use of the Service after the effective date counts as acceptance. If you do not accept, you may cancel before the new Terms apply.

18. Miscellaneous

  • Entire agreement. These Terms plus the Privacy Policy, Cookie Policy, and Subprocessors page are the complete agreement between us.
  • Severability. If any provision is unenforceable the rest remains in force.
  • No assignment. You cannot assign your rights under these Terms without our written consent; we may assign to a successor in a corporate reorganisation or asset sale, with notice to you.
  • Notices. We send legal notices to the email on your Account. You send notices to info@ripazo.com.
  • No waiver. Failing to enforce a provision is not a waiver of the right to enforce it later.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws rules. Disputes are submitted to the Rechtbank Midden-Nederland (seat: Utrecht), without prejudice to mandatory consumer-law forum rules.
